These General Terms and Conditions (“Terms”) apply to the purchase and use of apps and standard software, and to individually agreed software development, consulting, integration, maintenance and support.
They apply to consumers and to businesses, provided they were made available before the contract was concluded and were validly agreed.
Individually agreed contract terms take precedence over these Terms. Supplementary product terms apply to the product they name. Mandatory statutory rights remain unaffected in every case.
2. Conclusion of contract
For purchases through an app store, the way the contract is concluded follows from the order process shown there. Before the order is placed, the product, price, payment method and any contract term are shown.
For custom projects, the quote or the project contract describes the agreed services. A contract is concluded when a binding quote is accepted within its validity period or when both parties otherwise bindingly agree the order.
Agreements can be made by email, unless a special statutory or expressly agreed form is required.
Merely visiting the website or making a non-binding enquiry does not lead to a contract that involves a fee.
3. Scope of services
The product description, quote and any service agreements agreed when the contract is concluded are decisive.
For apps and standard software, the essential functions and technical requirements are stated in the product description or in the relevant app store.
For custom projects, functions, interfaces, deliverables, deadlines and responsibilities in particular are agreed. Hosting, ongoing operation, maintenance and support are owed only to the extent expressly agreed. Statutory warranty and update obligations remain unaffected.
For development services with an agreed result, we owe that result. For pure consulting or support services, we owe the agreed professional activity; a specific commercial outcome is owed only if it was expressly agreed.
4. Prices and payment
For apps and standard software, the price shown in the purchase process applies. For subscriptions, the billing period, the recurring price and the renewal conditions are communicated before the contract is concluded.
For custom services, the agreed fixed prices or hourly rates apply. Additional services, expenses and third-party costs are charged only to the extent agreed.
Before the contract is concluded, consumers receive information on the total price, including applicable taxes and mandatory additional costs.
For business customers, the quote states whether prices include or exclude statutory taxes.
Unless agreed otherwise, invoices are payable within 30 days of receipt. Down payments and partial payments must be agreed.
Price changes do not apply retroactively to services already agreed. Changes to ongoing contracts require an effective contractual or statutory basis.
5. Rights of use for apps and standard software
Customers receive a non-exclusive right to use the purchased software in accordance with the product description and the agreed licence scope.
The permitted use depends in particular on the agreed term, number of users, number of devices and type of use. For a subscription, the right of use lasts for the term of the subscription.
Redistribution, sublicensing or making the software available to third parties is permitted only if agreed or allowed by law.
Statutory rights, for example to make backup copies, for interoperability or for permitted resale, remain unaffected.
The respective licence terms apply to third-party and open-source components. They are provided to the extent the licence in question requires it.
6. Trial periods, subscriptions and cancellation
The duration and conditions of a trial period are stated with the relevant product. A trial period leads to a paid subscription only if the customer has agreed to that contract.
A subscription renews automatically only if this was agreed before the contract was concluded. The way to cancel, the renewal date and the cancellation conditions are communicated in the purchase process or in the product terms.
For a subscription taken out through Google Play, ordinary cancellation is made through the subscription management there.
Cancellation ends automatic renewal. Access remains until the end of the contract period already paid for. Statutory rights to immediate termination, withdrawal or a refund remain unaffected.
For Sortwell, the Sortwell terms of use also apply.
7. Updates and changes
We provide the updates that are contractually agreed and required by law, including necessary security updates.
Information on essential technical requirements and required updates is provided in a suitable manner.
Changes must not unreasonably impair agreed functions or statutory rights. For changes to ongoing digital services, the applicable statutory requirements and information duties apply.
Purchasing software does not oblige the customer to buy an additional maintenance contract.
8. Custom projects and changes to services
For custom projects, the parties record the scope of services and the essential requirements in a quote, a specification document or a project contract.
Change requests are assessed for effort, cost and impact on deadlines. Additional or changed services are carried out once the corresponding adjustments have been agreed.
Fixing a defect within the owed scope of services is not a chargeable additional service.
For agreed work contracts, the review is carried out against the defined requirements and acceptance criteria. The procedure and a reasonable review period are set in the project contract.
Defects found are documented. Acceptance and its legal consequences follow the contract and the applicable law. These Terms do not agree acceptance by silence alone.
9. Cooperation and handling of data
Customers provide the information, access and decisions agreed for a project in good time. They may give us only content and data that they are entitled to use.
Delays and additional effort caused by a lack of cooperation are disclosed. Costs or deadlines are adjusted only on a traceable contractual or statutory basis.
Before changes to production systems or important data, responsibilities for approval, data backup and recovery are agreed.
For tidy-up or delete functions in apps, users check their selection before confirming it. This cooperation does not release TahiroLabs from its own contractual or statutory duties.
10. Rights in custom deliverables
For custom-developed software and other deliverables, the project contract sets out in particular:
- scope and duration of the rights of use,
- exclusive or non-exclusive use,
- rights to modify and to pass on,
- delivery of source code and documentation,
- rights in pre-existing components and third-party materials.
Without a special agreement, the customer receives a non-exclusive right of use within the scope of the agreed contract purpose. These Terms alone do not agree an exclusive transfer of rights or delivery of the source code.
Rights in content provided by the customer remain with the respective rights holder. TahiroLabs uses this content only to the extent permitted for performing the contract or otherwise agreed.
11. Confidentiality and data protection
Both parties treat non-public, confidential information of the other party as confidential and use it only for performing the contract.
The obligation also applies after the contract ends. It does not cover information that is lawfully public, was developed independently or must be disclosed under a legal obligation.
Information on the processing of personal data is in the TahiroLabs privacy policy. For apps, their own privacy policies also apply.
If we process personal data on behalf of a customer, the necessary data protection agreements are concluded before the work begins. They regulate in particular instructions, security measures, further processors, data locations and the return or deletion of data.
Accepting these Terms is not consent to personalised advertising, tracking or other data processing that requires consent.
12. Defects, warranty and liability
The statutory warranty and liability provisions apply, as do any additional commitments that were validly agreed.
Defects can be reported to kontakt@tahirolabs.com. A description of the problem and the affected version makes handling easier. Statutory duties to inspect and notify remain in place.
These Terms do not exclude statutory claims to have a defect fixed, to a price reduction, to end the contract, to a refund or to damages.
In particular, liability for intent, gross negligence and personal injury is neither excluded nor limited.
A technical fault or the involvement of a third-party provider does not automatically release TahiroLabs from its contractual duties.
13. Ending custom contracts
Custom contracts end under the agreed conditions, for example when the services are completed or the agreed term expires.
Statutory and agreed rights to terminate, to rescind and to withdraw remain in place. This also applies to statutory rights to end orders early.
On early termination, remuneration, refunds and the handover of results already produced are determined by the contract and the applicable law.
Customer data, documentation and access are handled in line with the agreed duties to hand over and protect data. Statutory retention duties are reserved.
14. Consumer rights and withdrawal
Mandatory consumer rights under the applicable law remain unaffected.
For Sortwell subscriptions, section 7 of the Sortwell terms of use contains the withdrawal information and the model withdrawal form for consumers in the EU, the EEA and the United Kingdom.
For other products and custom services, the appropriate withdrawal information is provided before the contract is concluded, where a right of withdrawal exists. It states when the period starts, the procedure, the effects and, where required, a model form.
A loss of the right of withdrawal is not inferred from the download, the use of an app or the start of a project alone. It requires the statutory conditions and the necessary declarations.
Voluntary refund rules of an app store do not restrict statutory claims.
15. Changes to these Terms
The version agreed when a contract is concluded applies to that contract.
Publishing a new version does not automatically change existing contracts. Changes to ongoing contracts require an effective agreement or another permitted statutory or contractual basis.
Statutory rights to information and to termination are preserved.
16. Governing law, jurisdiction and contact
Swiss law applies.
Consumers keep the protection of the mandatory provisions of the state of their habitual residence, where these apply. The choice of law does not deprive them of this protection.
The statutory places of jurisdiction apply. For contracts with businesses, a permissible place of jurisdiction can be agreed in the respective project contract.
If a provision is invalid, the statutory rules apply in its place. The remaining provisions stay in force to the extent the applicable law provides.
Questions, complaints and contractual declarations can be sent to kontakt@tahirolabs.com.
